- 1 Meanings
- 1.1 Any course run for a single company will be referred to as a Closed Course.
- 1.2 Any course run at a prearranged time date and venue for any who wish to attend will be called an Open Course.
- 1.3 Any person attending a course will be referred to as The Participant.
- 1.4 Companies for whom a service is supplied will be referred to as The Client
- 1.5 A person delivering training or other services will be referred to as The Consultant
- 1.6 The work carried out by the Consultant will be called An Assignment
- 1.7 Money charged to provide a service will be called The Fee
- 1.8 Any monies expended by the Consultant travelling to and from the venue subsistence etc. will be called Expenses.
- 1.9 The place where a course is run or an assignment is carried out will be called The Venue
- 2 General
- 2.1 Fees and prices
- 2.1.1 All prices are quoted without VAT but are subject to VAT
- 2.1.2 Consultants will be charged for at a daily rate and for full days only. Any course that takes or contains less than whole days will still attract a full day's fee for each day unless otherwise agreed in writing by prior negotiation.
- 2.1.3 Quotes and estimates are valid for three months.
- 2.1.4 Fees are payable 15 working days before commencement of the course except by prior arrangement. Expenses will be invoiced separately in arrears.
- 2.1.5 All invoices are payable within 14 days of invoice date. Failure to pay by the due date may attract an additional 1% per month or part month thereafter.
- 2.1.6 Queries on invoices must be raised within 14 days. After this period the client is deemed to have accepted the invoice charge in full and no variation or adjustment shall be made. Even if the payment period is extended beyond 14 days that does not affect the timings in this clause.
- 2.2 Expenses
- 2.2.1 Expenses where specified are additional to the quoted fee
- 2.2.2 Expenses will be for;
- Travelling by Consultant to said venue by whichever means of transport is deemed most suitable by Sortium Limited
- Hotel accommodation where required good quality bed and breakfast from the day before the commencement of the course
- Per Diem allowance for other expenses verified by receipts
- Hire of a suitable venue where the course is not run at the client's premises.
- Hire of equipment reasonably expected or specified as being supplied by the client.
- Examples may include but are not limited to; whiteboard flipchart overhead projector personal computers if required etc.
- 2.2.3 Expenses will not include;
- Hire of equipment regarded as normal for this course but not expected to be made available by the client
- Course manuals handouts
- 2.2.4 Motoring expenses will include;
- Mileage at a fixed rate per mile
- Tolls road fees congestion charges and other charges that may be levied by any authority upon travelling by car
- Parking charges including overnight charges if there is no free parking available during hotel stays
- A hire car if this is deemed by Sortium Limited to be appropriate
- When the Consultant is to travel by car the client shall allocate suitable a parking space adjacent to the venue. They will also provide assistance to convey any materials or equipment from the Consultant's vehicle to the venue and at the end of the course to convey any materials or equipment from the venue to the Consultant's vehicle
- 2.2.5 Motoring expenses will not include;
- Any fine or penalty attracted by the Consultant due to any illegal action
- Expenses incurred as the result of a traffic accident
- 2.2.6 Where a course or combination of courses necessitates the Consultant being unable to return home for any day that he is not working including weekends fees will be charged at one half the quoted daily rate and per diem expenses will be charged at the full rate
- 2.2.7 No fee will be charged for travelling within the EU except where travelling is required at some time earlier than the latest practical time prior to the assignment in which case fees will be charged at one half the quoted daily rate. Outside the EU all travelling days will incur a charge of one half the quoted daily rate
- 2.3 Complaints procedures
- 2.3.1 At Sortium Limited we always take every complaint seriously and will endeavour to correct it to your satisfaction as soon as possible. For this reason complaints will be supervised by the Managing Director personally
- 2.3.2 Should you have any complaints about any aspects of the course you should contact us as soon as feasible during or after the event. You can call our administration office on 0844 357 7953 you can email us at info@sortium.com or you can write to the Managing Director at Sortium Limited P O Box 2280 Rottingdean East Sussex. Initially you may lodge your complaint by telephone but ultimately you must provide a written statement either by post or email
- 2.3.3 A complainant must supply their name contact telephone number address course name date venue trainer name and the nature of the complaint. Sortium Limited will issue an acknowledgement of receipt within 48 hours. This will indicate how long we believe it will take us to make our enquiries and when you may expect an adjudication
- 2.3.4 Where a complaint is concerned with some aspect of the course that impacts directly upon an accreditation with any professional body we will refer your case to them
- 2.3.5 Should you be unhappy with our decision we will work with you to appoint an independent party acceptable to both of us who will make a final ruling. We will agree to be bound by their decision
- 2.3.6 Where compensation is awarded this shall be limited to the course fees you have paid to Sortium Limited less any VAT or other taxes. Sortium Limited cannot be held responsible for any loss caused by the negligence or other action of any third party
- 2.4 Client's responsibilities
- 2.4.1 Where the venue is to be on the client's premises the client will be responsible for ensuring adequate and suitable training space is available with sufficient room for the lecture space and 'break-out space' where required
- 2.4.2 The client will supply all catering including beverages water food and other refreshments at the commencement of each day for one refreshment break approximately mid-morning one refreshment break approximately mid afternoon and lunch
- 2.4.3 Except by prior arrangement the client will provide presentation material such as flipcharts whiteboards data projectors and any other equipment required for the course and specified by Sortium Limited
- 2.4.4 The Client is responsible for informing Sortium Limited of the number of participants attending the course a minimum of seven (7) working days before the commencement
- 2.4.5 In the event that the client wishes to have more than the stated number of participants attend the course Sortium Limited will endeavour to accommodate said extra participants but can not guarantee that there will be sufficient material for all participants
- 2.4.6 In the event that the client wishes to have fewer than the stated number of participants attend the course Sortium Limited will accept this but the Client will remain responsible for paying the cost of the unused course material
- 2.4.7 Course materials are subject to copyright. Where for reasons of cost or efficiency Sortium Limited allows materials to be reproduced by the Client then only sufficient copies may be reproduced for the course. No additional copies may be made under any circumstances. Master copies of any material must returned to Sortium Limited or if electronic versions must be deleted immediately the reproductions have been made
- 2.4.8 Where the client is supplying the course for a third party any responsibility of the Client will be deemed to apply to that third party
- 2.5 Client's contact with the Consultant
- 2.5.1 The client may only contact a Consultant via Sortium Limited. Where direct contact is necessary between the Client and the Consultant Sortium Limited is to be kept fully informed of all such contacts. Where contact is by email or in writing Sortium Limited shall be copied in
- 2.5.2 the Client may not make any direct approach to a Consultant with offers of other Assignments within 6 months of the Consultant's last Assignment with Sortium Limited
- 2.5.3 Should a Client breach item 5.4.2 above the Client agrees that they are liable to a cost of £150 for each day or part day of any Assignment worked by the Consultant directly or indirectly for the Client payable immediately to Sortium Limited
- 2.5.4 Where a consultant has to be registered by the client with any other agency in order carry out an Assignment they may do so but this does not in any way invalidate clauses 2.5.1 2.5.2 or 2.5.3 above
- 3 Closed Courses
- 3.1 Contents
- 3.1.1 Closed Courses will be of the duration and contents specified in literature published by Sortium Limited in whatever form (pamphlet brochure catalogue internet etc.). Details are subject to change without notification but will not change after an agreement has been reached with a client
- 3.1.2 Where clients require courses that are different from published details then a development fee may be charged. This fee will be subject to negotiation
- 3.2 Cancellation of a Closed Course
- 3.2.1 Either party may cancel the course without penalty 15 or more working days prior to the commencement of the course.
- 3.2.2 If the client wishes to cancel within this period but before ten working days prior to commencement of course a penalty of 25% of the course fee will be charged. If there is a cancellation within ten working days a cancellation fee of 50% will be charged.
- 3.2.3 Cancellation charges will be for the course fees only and will not be for expenses except where expenses have been incurred prior to the cancellation
- 3.3 Client's responsibilities
As well as those responsibilities listed in clause 2.4 above the conditions below also apply
- 3.3.1 The client is responsible for ensuring adequate and suitable training space is available with sufficient room for the lecture space and 'break-out space' where required
- 4 Open Courses
- 4.1 Contents
- 4.1.1 Courses will be of the duration and contents specified in literature published by Sortium Limited in whatever form (pamphlet brochure catalogue internet etc.). Details are subject to change without notification but will only change where necessary to keep the course current or in line with accreditation requirements
- 4.1.2 Sortium Limited will not be responsible for any cost incurred by participants for travel accommodation subsistence etc.
- 4.1.4 Where a course is specified as being residential then participants will be expected to stay at the venue appointed by Sortium Limited who will endeavour to assist the participant to book such accommodation but without liability
- 4.1.4 Where a course is specified as being non-residential then the participant is responsible for securing suitable accommodation. Sortium Limited will endeavour to assist the participant to book such accommodation but without liability
- 4.2 Cancellation of Attendance at an Open Course
- 4.2.1 Either party may cancel without penalty 15 or more working days prior to the commencement of the course
- 4.2.2 If the client wishes to cancel within this period but before ten working days prior to commencement of course a penalty of 25% of the course fee will be charged. If client wishes to cancel within ten working days a cancellation fee of 50% will be charged
- 4.2.3 Where practical Sortium Limited will waive these penalties and transfer the participants to a suitable alternative course subject to any administrative costs being paid by the client. If there is a subsequent cancellation it will attract a cancellation fee of 50%
- 5 Provision of Trainers
- 5.1 General
- 5.1.1 Sortium Limited will provide trainers to other Training Providers to present courses for those Training Providers
- 5.1.2 Sortium Limited undertakes to provide suitable Consultants with the requisite qualifications and skills to undertake the assignment
- 5.1.3 Courses will be of the duration and content specified at the time of booking and will not be subject to change without the expressed written consent of Sortium Limited
- 5.2 Cancellation of an Assignment
- 5.2.1 Either party may cancel an Assignment without penalty 15 or more working days prior to the commencement of the course.
- 5.2.2 If the client wishes to cancel within this period but before ten working days prior to commencement of course a penalty of 25% of the course fee will be charged. If there is a cancellation within ten working days a cancellation fee of 50% will be charged.
- 5.2.3 Cancellation charges will be for the course fees only and will not include expenses except where expenses have been incurred prior to the cancellation
- 5.3 Client's responsibilities
As well as those responsibilities listed in clause 2.4 above the conditions below also apply
- 5.3.1 The client must supply copies of all materials required by the Consultant to carry out the Assignment at least 10 working days before commencement of the Assignment
- 5.3.2 The client is responsible for ensuring adequate and suitable training space is available with sufficient room for the lecture space and 'break-out space' where required
